Welcome to SessionSnap AI! These Terms and Conditions (“Terms”) govern your use of the SessionSnap AI software-as-a-service (SaaS) platform (“Platform”), owned and operated by Web Services and Tools Ltd, a company registered in Manchester, United Kingdom (“Web Services and Tools,” “we,” “us,” or “our”). By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use the Platform.

Account Registration and Usage
1.1 Account Creation: In order to use the Platform, you must create an account. You agree to provide accurate and complete information during the registration process and to keep your account information up to date. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

1.2 Authorized Users: You may designate individuals within your organization as authorized users of the Platform. Each authorized user must create their own account and abide by these Terms. You are responsible for ensuring that your authorized users comply with these Terms.

Platform Access and Use
2.1 License Grant: Subject to these Terms, we grant you a non-exclusive, non-transferable, revocable license to access and use the Platform for your internal business purposes, as permitted by the intended functionality of the Platform.

2.2 Restrictions: You agree not to:

a) Use the Platform for any illegal, unauthorized, or infringing activities;
b) Modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works of the Platform;
c) Copy, reproduce, distribute, transmit, publicly display, or publicly perform the Platform, except as expressly permitted by us;
d) Interfere with or disrupt the operation of the Platform or the servers or networks used to make the Platform available;
e) Use any automated system, including “bots,” to access or interact with the Platform, except through our official API, if provided;
f) Use the Platform in a manner that could harm, disable, overburden, or impair our servers or networks, or interfere with any other party’s use and enjoyment of the Platform;
g) Use the Platform to transmit or distribute viruses, worms, Trojan horses, or other malicious code; and
h) Use the Platform for any purposes other than those expressly permitted by these Terms.

Intellectual Property Rights
3.1 Ownership: The Platform, including its software, technology, content, and all intellectual property rights therein, are and will remain the exclusive property of Web Services and Tools and its licensors.

3.2 Feedback: If you provide us with any feedback, suggestions, or ideas regarding the Platform (“Feedback”), you hereby grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sublicensable right to use, reproduce, modify, and distribute such Feedback for any purpose without any obligation or compensation to you.

Confidentiality
4.1 Confidential Information: During your use of the Platform, you may have access to certain confidential or proprietary information of Web Services and Tools (“Confidential Information”). You agree to maintain the confidentiality of any Confidential Information and not to disclose or use it for any purpose other than as expressly authorized by these Terms.

Privacy
5.1 Data Privacy: Our collection, use, and disclosure of your personal information are governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to our collection, use, and disclosure of your personal information as described in the Privacy Policy.

Term and Termination
6.1 Term: These Terms will remain in effect until terminated by you orWeb Services and Tools. You may terminate these Terms by discontinuing your use of the Platform and closing your account. We may suspend or terminate your access to the Platform at any time, with or without cause, and without notice.

6.2 Effect of Termination: Upon termination of these Terms, your right to access and use the Platform will immediately cease. Any provisions of these Terms that, by their nature, should survive termination (including, but not limited to, Sections 3, 4, 5, 7, and 8) shall continue to apply.

Limitation of Liability
7.1 Disclaimer: THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WEB SERVICES AND TOOLS DISCLAIMS ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

7.2 Limitation of Liability: IN NO EVENT SHALL WEB SERVICES AND TOOLS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS, THE PLATFORM, OR YOUR USE OF OR INABILITY TO USE THE PLATFORM, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, OR OTHERWISE) AND EVEN IF WEB SERVICES AND TOOLS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE AGGREGATE LIABILITY OF WEB SERVICES AND TOOLS ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO WEB SERVICES AND TOOLS, IF ANY, DURING THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY.

General Provisions
8.1 Entire Agreement: These Terms constitute the entire agreement between you and Web Services and Tools regarding the subject matter hereof and supersede all prior or contemporaneous agreements, understandings, and communication, whether written or oral, relating to such subject matter.

8.2 Governing Law and Jurisdiction: These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of laws principles. Any dispute arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the courts of England and Wales.

8.3 Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, and the remaining provisions shall remain in full force and effect.

8.4 Assignment: You may not assign or transfer these Terms or any of your rights or obligations hereunder without the prior written consent of Web Services and Tools. Web Services and Tools may freely assign or transfer these Terms or any of its rights or obligations hereunder.

8.5 Modifications: We reserve the right to modify these Terms at any time by posting the updated Terms on the Platform or by providing notice to you. Your continued use of the Platform after the effective date of any modifications constitutes your acceptance of the modified Terms.

9. Refund Policy

9.1 Trial Period: We offer a trial period for you to evaluate the functionality and features of SessionSnap AI. During this trial period, you may use the Platform free of charge. By continuing to use the Platform beyond the trial period, you confirm that you are satisfied with the tool and agree to the terms of the pricing and payment plan applicable to your subscription.

9.2 No Refunds: Once the trial period expires, all fees paid for the use of SessionSnap AI are non-refundable. This includes any prepaid fees or fees paid on a recurring basis. We do not provide refunds or credits for partial subscription periods, unused features, or any unused portion of your subscription.

9.3 Cancellation: You have the right to cancel your subscription at any time, but cancellation will not entitle you to a refund for any fees already paid. Upon cancellation, your access to the Platform will be terminated at the end of the current subscription period.

9.4 Discretionary Refunds: In exceptional circumstances, where we determine, in our sole discretion, that a refund may be appropriate, we may choose to provide a refund or credit on a case-by-case basis. Such refunds or credits will be issued at our sole discretion and without any obligation to do so.

Please note that this refund policy applies solely to payments made directly to Web Services and Tools for the use of SessionSnap AI. Any refunds for payments made through third-party providers or resellers will be subject to their respective refund policies.

By continuing to use the Platform beyond the trial period, you acknowledge and agree to the no refund policy outlined in these Terms.
